Press Release from Generic Sweden AB’s Annual General Meeting on May 13, 2020.

Generic Sweden AB held its annual shareholders’ meeting on May 13, 2020. On all proposed matters, the meeting resolved in accordance with the proposals of the nomination committee and the board of directors, respectively. The following is a summary of the main points of the most important resolutions:

  • The income statement and balance sheet, as well as the consolidated income statement and consolidated balance sheet for 2019, were adopted, as was the Board of Directors’ proposal for the appropriation of profits—a dividend to shareholders of SEK 0.80 per share, totaling SEK 9,834,000, and SEK 9,870,000 was carried forward to retained earnings,
  • The members of the Board of Directors and the CEO were granted discharge from liability for the 2019 fiscal year,
  • The chairman of the board was granted a fee of 150,000 SEK, and the other board members of the company who are not employees were each granted a fee of 75,000 SEK,
  • For the period until the 2021 Annual General Meeting is held, the following individuals were appointed as members of the Board of Directors:

Hans Krantz, Chairman of the Board (re-elected)

Fredrik Svedberg (re-elected)

Kent-Åke Jönsson (re-elected)

Stefan Widén (re-elected)

Bengt-Arne Molin (newly elected)

  • PricewaterhouseCoopers AB was appointed as the company's auditor, with Christian Lamrin serving as the lead auditor,
  • The Chairman of the Board was tasked with convening, based on the shareholdings as of the end of September 2020, a nomination committee consisting of one representative from each of the company’s three largest shareholders,
  • The Board of Directors’ proposal in the notice of meeting regarding the guidelines for compensation to senior executives was approved.
