Press Release from Generic Sweden's Annual Shareholders' Meeting
Generic Sweden AB (publ) held its Annual General Meeting on May 13, 2026. On all proposed matters, the Annual General Meeting resolved in accordance with the proposals of the Nominating Committee and the Board of Directors, respectively. The following main resolutions were adopted.
- The income statement and balance sheet, as well as the consolidated income statement and consolidated balance sheet for 2025, were approved, as was the Board of Directors’ proposal for the appropriation of profits, entailing a dividend to shareholders of 1.75 kronor per share, with a record date of May 18, 2026.
- The members of the Board of Directors and the CEO were granted discharge from liability for the 2025 fiscal year.
- It was decided that the board shall consist of five regular members, with no alternates.
- It was resolved that the Board of Directors’ compensation shall remain unchanged at 200,000 kronor for the Board Chair and 100,000 kronor each for the other members who are not employees of the company. It was resolved that the auditors’ fees shall be paid on an as-incurred basis.
- The following individuals were re-elected as members of the board:
- Hans Krantz
- Bengt-Arne Molin
- Erik Ivarsson
- Johanna Berlinde
- Johan Martinsson
- Stefan Widén had declined to stand for reelection.
- Erik Ivarsson was re-elected as chairman of the board.
- Öhrlings PricewaterhouseCoopers AB was re-elected as the company’s auditor, with Christian Lamrin serving as the lead auditor.
- A resolution was adopted regarding the principles for appointing the Nominating Committee in accordance with the Nominating Committee’s proposal.
- It was resolved to amend the Articles of Incorporation in accordance with the Board of Directors’ proposal, meaning that the purpose of the company in Section 3 will be adapted to the company’s current operations, and that a new Section 12 will be added, granting the Board of Directors the authority to collect proxies for shareholders’ meetings and to decide on mail-in voting prior to the meeting.
- It was resolved to authorize the Board of Directors, on one or more occasions during the period until the next Annual General Meeting, with or without deviation from the shareholders’ preemptive rights, resolve to issue new shares to an extent corresponding to a dilution of no more than 10 percent of the number of shares outstanding at the time of the Annual General Meeting’s resolution, calculated on the basis of full utilization of the authorization. The issuance may be made with or without provisions regarding non-cash consideration, set-off, or other conditions, and shall be made on market terms. The purpose of the authorization is to enable strategically motivated collaborations or acquisitions of companies or businesses.
- It was resolved to authorize the Board of Directors to decide on the acquisition and transfer of the company’s own shares in accordance with the Board’s proposal. It was noted that the resolution is conditional upon, and the authorization may only be exercised by the Board of Directors provided that, the Riksdag adopts the bill presented in Government Bill 2025/26:125.
