Press Release from Generic Sweden's Annual Shareholders' Meeting

Generic Sweden AB (publ) held its Annual General Meeting on May 15, 2025. On all proposed matters, the Annual General Meeting resolved in accordance with the proposals of the Nominating Committee and the Board of Directors, respectively. The following main resolutions were adopted.

• The income statement and balance sheet, as well as the consolidated income statement and consolidated balance sheet for 2024, were approved, as was the Board of Directors’ proposal for the appropriation of profits, entailing a dividend to shareholders of 1.60 kronor per share, with a record date of May 19, 2025.

• The members of the Board of Directors and the CEO were granted discharge from liability for the 2024 fiscal year.

• It was decided that the board shall consist of six regular members, with no alternates.

• It was resolved that the Board of Directors’ compensation shall remain unchanged at 200,000 kronor for the Board Chair and 100,000 kronor each for the other members who are not employees of the company. It was resolved that the auditors’ fees shall be paid on an as-incurred basis.

• The following individuals were elected to the board of directors:

Hans Krantz (re-elected)
Stefan Widén (re-elected)
Bengt-Arne Molin (re-elected)
Erik Ivarsson (re-elected)
Johanna Berlinde (re-elected)
Johan Martinsson (newly elected)

Erik Ivarsson was elected as the new chairman of the board.

• Öhrlings PricewaterhouseCoopers AB was re-elected as the company’s auditor, with Christian Lamrin serving as the lead auditor.

• A resolution was passed to appoint a nomination committee in accordance with the nomination committee’s proposal.
